CPOM Compliance for Nevada Healthcare Startups

Nevada is easy for ordinary LLCs and hard for medical practices. NRS Chapter 89 requires 100% licensed-physician ownership of a medical professional corporation. The Board of Medical Examiners has acted on med spas and nominal-physician arrangements.

The law in Nevada

Nevada CPOM is not a standalone “CPOM statute.” NRS 630 limits the practice of medicine to licensed physicians. NRS 89 requires every share of a medical professional corporation to be held by licensed physicians. Attorney General opinions and Board enforcement treat lay employment of physicians and lay control of clinical decisions as prohibited. Foreign-qualify-your-California-PC is usually the wrong path.

Founders form Nevada LLCs for tax and flexibility reasons and then assume the same wrapper works for a Las Vegas clinic or a telehealth panel. It does not. The Professional Corporations Act carves medicine out of general corporate flexibility. A non-physician-owned Nevada LLC cannot provide medical services, employ physicians to practice medicine, or bill for physician services.

The Board of Medical Examiners investigates complaints, holds hearings, and can suspend or revoke licenses. Public enforcement themes include medical spas where non-physician owners set protocols, aesthetic practices with a paper supervisor, and telehealth companies that employed physicians through a non-professional entity. The Division of Public and Behavioral Health can add facility-license risk on top of individual discipline.

How an MSO-PC works in Nevada

The PC employs or contracts clinicians and bills professional services. The MSO runs brand, marketing, and non-clinical ops under an MSA priced at fair market value, not a percentage of clinical collections dressed as rent. Document that the physician-owner actually reviews protocols and credentialing. Foundry forms the MSO-PC ($15,000) and matches a friendly PC owner ($3,000/mo).
