Operator deep page (statute cites, PC vs MSO table, Foundry formation CTA): Kansas CPOM on the CPOM 50-state guide. Pair it with CPOM compliance and MSO-PC formation ($15,000). A friendly PC owner is $3,000/mo.
Kansas is Moderate, not a no-rules state. Official K.S.A. 17-2712(a) lets a professional corporation issue shares only to a qualified person. No shares may be transferred or issued until a regulating-board certificate is filed. Issuance or transfer in violation is null and void. The official Revisor annotation on K.S.A. 17-2708 records Early Detection Center, Inc. v. Wilson, 248 Kan. 869 (1991): the professional corporation law does not authorize a general corporation to engage in medical practice or provide services under supervision of a practitioner.
Do not stretch 65-28,134
Official K.S.A. 65-28,134 is a certificate-of-authorization path for certain worksite clinics, specified carriers, and specified EMR information-technology companies. Professional corporations are excluded from that “business entity” definition. It is not a digital-health startup waiver. Kansas City diligence still wants a physician-owned PC plus an FMV MSA.
What Kansas City founders should do
- Form a Kansas professional corporation owned by a Kansas-licensed MD or DO.
- Keep the 17-2712 regulating-board certificate in the share file.
- Pay the MSO a fixed or FMV-supported admin fee, not a percentage of collections.
- If you also treat Missouri, Colorado, or Iowa patients, open those deep pages. Kansas’s Moderate label does not control them.
