Operator deep page (statute cites, PC vs MSO table, Foundry formation CTA): Arkansas CPOM on the CPOM 50-state guide. Pair it with CPOM compliance and MSO-PC formation ($15,000). A friendly PC owner is $3,000/mo.
Arkansas is Moderate, not a no-rules state. Official A.C.A. § 4-29-307, as quoted in the 2025 General Assembly’s SB 262 engrossment, requires all officers, directors, and shareholders of a medical corporation to be licensed under the Arkansas Medical Practices Act. Official (b): no unlicensed person shall have any part in the ownership, management, or control of the corporation, nor may any proxy to vote any shares be given to an unlicensed person. A.C.A. § 4-29-309 requires an Arkansas State Medical Board certificate of registration before the corporation may open or operate.
Do not stretch SB 262
SB 262 proposed a 2025 path for certain inactive or retired licensees to keep medical-corporation stock. Treat it as proposed session language until counsel confirms enactment. It is not a digital-health waiver for lay ownership. Little Rock diligence still wants a physician-owned PC plus an FMV MSA.
What Little Rock founders should do
- Form an Arkansas medical corporation owned by an Arkansas-licensed MD or DO.
- Keep the § 4-29-309 Board certificate current and renewed.
- Pay the MSO a fixed or FMV-supported admin fee, not a percentage of collections.
- If you also treat Oklahoma, Louisiana, Texas, Missouri, or Tennessee patients, open those deep pages. Arkansas’s Moderate label does not control them.
